General Terms and Conditions Festival Cadeaukaart Partners

These general terms and conditions apply to all current and future agreements between TicketGift B.V., trading as Festival Cadeaukaart, and Partners, unless otherwise agreed in writing.
Amendments to these terms and conditions will be published on festivalcadeau.com and/or communicated to Partners at least thirty (30) days prior to their effective date.
Article 1: Definitions
In these general terms and conditions, the following terms shall have the meanings set out below:
Festival Cadeaukaart: TicketGift B.V., trading under the name Festival Cadeaukaart, having its statutory seat in Zandvoort and registered with the Chamber of Commerce under number 76673774.
Intersolve: Intersolve B.V., the technical and financial processing partner that may be involved on behalf of Festival Cadeaukaart in the processing, administration and settlement of gift card transactions.
Partner: Any professional counterparty, including festival organisers, ticket providers, affiliates, PSPs, resellers or other commercial parties that integrate, accept, promote or make Festival Cadeaukaart visible within their services.
Gift Card: The physical and/or digital Festival Cadeaukaart that can be used by a holder as a means of payment at affiliated Partners.
Holder: Any natural person or legal entity in possession of a Gift Card.
Participation Agreement: The agreement between Festival Cadeaukaart and Partner to which these general terms and conditions apply.
Brand Type: A specific variant, label, campaign form, proposition or commercial implementation of Festival Cadeaukaart for which different commercial terms may apply.
Commercial Concept: Any commercial, promotional, retail, cashback, loyalty, activation, marketing or branded proposition offered by Festival Cadeaukaart independently or in collaboration with third parties.
Integration: Any technical, digital, operational or commercial connection through which Festival Cadeaukaart is made available as a means of payment, promotional product or service within the systems, websites, apps, ticket environments, payment environments or sales channels of the Partner.
Platform: All websites, apps, systems, APIs, integrations, retail structures, payment environments, technical infrastructures and commercial services of Festival Cadeaukaart.
Developer Documentation: All technical documentation, API specifications, onboarding guidelines, integration conditions, security requirements, instructions and operational documentation as published via developer.festivalcadeau.com or other communication channels designated by Festival Cadeaukaart.
Event Concept: A festival, event, brand formula, event series, organisational concept or related commercial event structure operated under a recognisable name, branding or organisational formula.
Operational Requirements: All reasonable technical, security, compliance, support, integration, onboarding and process-related requirements that Festival Cadeaukaart deems necessary from time to time for the proper functioning of its services.
Credit: The available balance on a Gift Card.
Payout: The periodic payment to the Partner of gift card transactions accepted by the Partner.
Payout Percentage: The percentage of the redeemed value paid out to the Partner.
Payment Service Provider (PSP): An external party that facilitates technical payment processing.
Ticket Provider: An external ticketing partner that supports the Festival Cadeaukaart payment method within its platform.
Confidential Information: All information which can reasonably be assumed to be confidential in nature.
IP Rights: All intellectual property rights, including copyrights, trademark rights, trade name rights, database rights and design rights.
Article 2: Applicability
2.1 These general terms and conditions apply to all offers, agreements and services of Festival Cadeaukaart.
2.2 Deviations from these terms and conditions are only valid if agreed in writing.
2.3 If a provision of these terms and conditions is null and void or is annulled, the remaining provisions shall remain in full force and effect.
2.4 Additional technical documentation, integration conditions, developer instructions and operational guidelines form an integral part of the collaboration between the parties.
Article 3: Participation and Use of the Gift Card
3.1 Festival Cadeaukaart offers a prepaid means of payment that can be used by consumers at affiliated Partners.
3.2 The Gift Card is valid for two (2) years after activation, unless otherwise provided by law.
3.3 Depending on the relevant Brand Type, card variant, campaign or commercial proposition, different validity periods may apply. Specific promotional cards, campaign cards or cards issued in the context of competitions, marketing campaigns or other temporary commercial purposes may have a shorter or different validity period. The applicable validity period will in that case be stated on the relevant card, campaign communication or accompanying documentation.
3.4 The Gift Card can be issued both physically and digitally.
3.5 A Participation Agreement can be concluded, among other ways, through:
3.6 Festival Cadeaukaart reserves the right to refuse a registration without stating reasons.
3.7 The Partner provides correct business and contact details and informs Festival Cadeaukaart in a timely manner of relevant changes.
3.8 Festival Cadeaukaart may engage third parties for the performance of its services.
3.9 The Partner accepts the Brand Types and associated commercial terms and conditions applicable at the time of participation, unless otherwise agreed in writing.
3.10 New Brand Types or materially amended commercial terms and conditions will be communicated to the Partner in advance.
3.11 Festival Cadeaukaart reserves the right to change, expand or discontinue functionalities, integrations, commercial models, platform components or additional services.
3.12 Festival Cadeaukaart may offer services under its own name, white-label constructions, co-branded concepts or other commercial labels.
3.13 Festival Cadeaukaart has the right to introduce and launch additional Brand Types, card variants, labels, propositions, campaigns or commercial concepts within its platform at its own discretion, whether or not technically processed via Intersolve or other processing partners.
3.14 Such additional Brand Types, propositions or commercial concepts also fall under these general terms and conditions and may contain different commercial, operational, promotional or financial conditions, without requiring additional approval from the Partner, unless otherwise agreed in writing.
3.15 If the Partner cannot agree with a new Brand Type, additional proposition or materially amended commercial structure, the Partner has the sole right to terminate the entire collaboration in writing subject to a notice period of one (1) calendar year, unless otherwise agreed in writing in a specific collaboration agreement.
Article 4: Costs, Fees and Payouts
4.1 Participation may be subject to connection fees, monthly fees or transaction fees.
4.2 Any technical integration or connection costs will be communicated in advance.
4.3 Festival Cadeaukaart may set off agreed transaction costs against payouts to the Partner.
4.4 Payouts are made to the bank account number provided by the Partner.
4.5 Different payout percentages may apply for specific Brand Types. These will be agreed in writing or digitally in advance.
4.6 If a minimum payout threshold applies, this will be made known in advance.
4.7 The Partner is responsible for a correct technical integration via its own systems, PSPs or ticket providers.
4.8 Festival Cadeaukaart has the right to temporarily suspend payouts if:
4.9 Festival Cadeaukaart may set off outstanding amounts, corrections, chargebacks, damages or costs against future payouts to the Partner.
4.10 Unless otherwise agreed in writing, payouts are made according to the standard payout cycle used by Festival Cadeaukaart.
4.11 Festival Cadeaukaart gives no guarantees regarding turnover, transactions, ticket sales, reach, marketing results or commercial performance.
4.12 Festival Cadeaukaart may apply different commercial terms, rates, payout percentages or promotional arrangements per Partner, Brand Type, campaign, ticket provider, retail channel or commercial segment.
Article 5: Obligations of the Partner
5.1 The Partner will offer Festival Cadeaukaart in a correct and reasonable manner within the agreed sales channels.
5.2 The Partner enables holders to use the Gift Card as a means of payment in accordance with the technical possibilities of the integration.
5.3 The Partner ensures adequate customer support regarding payments via Festival Cadeaukaart.
5.4 If the Partner is structurally visible on physical gift cards, packaging or retail materials, the Partner will keep Festival Cadeaukaart active as a payment method for the duration of these materials, insofar as technically and commercially reasonably possible.
5.5 If the Partner organises events where Festival Cadeaukaart is integrated, Festival Cadeaukaart may request promotional access tickets for relationship management, marketing or retail activities. The provision of these is solely by mutual agreement.
5.6 The Partner will not perform any actions that could damage the reputation, operation or reliability of Festival Cadeaukaart.
5.7 The Partner complies with all applicable laws and regulations, including regulations in the field of consumer protection, payment transactions, sanctions legislation, anti-money laundering legislation and privacy legislation.
5.8 The Partner will, upon first request, provide Festival Cadeaukaart with reasonably necessary information in the context of compliance, fraud or security checks.
5.9 The Partner maintains an adequate administration of transactions in which Festival Cadeaukaart was used and provides, upon reasonable request, relevant information for verification or investigation.
5.10 If the Partner joins in relation to an event concept, festival series, brand formula or organisational concept, the participation applies in principle to future editions and similar events within that same concept, unless the parties agree otherwise in writing.
5.11 The Partner will not use Festival Cadeaukaart exclusively for individual events, editions or ticket sales based on disappointing sales results, remaining capacity, temporary promotional necessity or similar circumstances, if this reasonably detracts from the sustainable collaboration between the parties.
5.12 Unless otherwise agreed in writing, the collaboration between the parties is not exclusive.
5.13 The Partner remains fully responsible for the organisation, execution, ticketing, customer service, refunds and compliance with applicable laws and regulations regarding its events, products and services.
5.14 If the Partner switches to another PSP, ticket provider or technical infrastructure, the Partner will ensure the continuation of the integration of Festival Cadeaukaart within a reasonable transition period of a maximum of six (6) months.
5.15 If the integration of Festival Cadeaukaart has not been operationally restored after this transition period in a commercially comparable manner as before, the Partner owes Festival Cadeaukaart an immediately due and payable compensation of €5,000 per involved event concept, festival series, brand formula or organisational concept to cover commercial, operational, retail and integration-related damages, unless there is force majeure, technical impossibility or circumstances that cannot reasonably be attributed to the Partner.
5.16 The Partner will keep Festival Cadeaukaart visible and available in a commercially reasonable manner within its relevant ticket, payment or sales environment during the collaboration.
5.17 The Partner acknowledges that Festival Cadeaukaart may be dependent on long-term retail, distribution and marketing trajectories, which must be reasonably taken into account upon termination of the collaboration.
5.18 The Partner will comply with the then-current technical documentation, integration conditions, developer instructions, API specifications, onboarding guidelines and other operational requirements as made available via developer.festivalcadeau.com or other communication channels designated by Festival Cadeaukaart.
5.19 Festival Cadeaukaart has the right to change, supplement or update this technical documentation, integration conditions, specifications and instructions from time to time if this is reasonably necessary for security, continuity, technical operation, compliance, optimisation or further development of its platform and services.
Article 6: Term and Termination
6.1 The agreement is entered into for an indefinite period.
6.2 The Partner may only terminate the agreement in writing subject to a notice period of three (3) calendar years, unless otherwise agreed in writing.
6.3 During the notice period, the Partner will continue to integrate, accept and offer Festival Cadeaukaart in a commercially reasonable manner within its relevant ticket, payment and sales environment.
6.4 Festival Cadeaukaart has the right to terminate the agreement in whole or in part with immediate effect if:
6.5 Existing payment, settlement, marketing, distribution and promotion obligations remain in force after termination for the applicable notice period.
6.6 Already produced physical cards, packaging, retail materials or campaigns may remain in circulation during the normal distribution period.
6.7 Festival Cadeaukaart has the right to temporarily limit or suspend the visibility, promotion, positioning or availability of the Partner within its platform, marketing channels, retail channels or campaigns if there are reasonable commercial, technical, operational, compliance or reputation-related grounds for this.
6.8 Festival Cadeaukaart reserves the right to refuse, limit or terminate collaboration if association with the Partner could reasonably cause reputational damage to Festival Cadeaukaart, TicketGift B.V., affiliated Brand Types or commercial partners.
6.9 Termination by the Partner leaves already planned retail, marketing, distribution or promotion campaigns unaffected, unless otherwise agreed in writing.
Article 7: Intellectual Property and Trademark Use
7.1 The Partner grants Festival Cadeaukaart a non-exclusive right during the term of the agreement to use the Partner's name, trademark, logo and promotional materials for promotional purposes.
7.2 This use may take place on websites, social media, physical gift cards, packaging, presentations and marketing materials.
7.3 Festival Cadeaukaart will carry out the trademark use carefully and reasonably, with respect for the reputation and image of the Partner.
7.4 Festival Cadeaukaart retains reasonable freedom regarding the format, positioning and design of logos and promotional materials.
7.5 The Partner may only object to trademark use if it can be reasonably demonstrated that there is serious reputational damage or misleading use.
7.6 Already produced materials may be used until existing stock is exhausted.
7.7 All intellectual property rights of Festival Cadeaukaart remain the property of TicketGift B.V. or its licensors.
7.8 Festival Cadeaukaart may use anonymised and aggregated transaction data for analyses, optimisation, benchmarking, marketing insights and commercial purposes, provided that this data cannot be traced back to individuals.
7.9 Festival Cadeaukaart independently determines the manner in which Partners, events, Brand Types, campaigns or propositions are presented or positioned within its platform, retail channels, websites, marketing materials or promotional activities, without any obligation for minimum exposure, marketing support or sales results.
Article 8: Liability
8.1 Festival Cadeaukaart is only liable for direct damage that is the direct result of an attributable shortcoming.
8.2 Festival Cadeaukaart is not liable for indirect damage, including consequential damage, loss of profit, reputational damage, loss of savings, loss of data or damage due to business interruption.
8.3 Festival Cadeaukaart is not responsible for the delivery, execution, quality, cancellation or content of events, tickets, products or services of the Partner.
8.4 Festival Cadeaukaart is not liable for failures, errors or shortcomings of third parties, including PSPs, ticket providers, hosting parties, telecom providers or Intersolve.
8.5 The total liability of Festival Cadeaukaart is limited to the amount that the Partner has paid to Festival Cadeaukaart in the twelve (12) months preceding the damage, with a maximum of €10,000, unless mandatory law provides otherwise.
8.6 The limitations of liability do not apply in the event of intent or deliberate recklessness.
8.7 The Partner indemnifies Festival Cadeaukaart against claims from third parties arising from the actions or omissions of the Partner.
Article 9: Availability and Force Majeure
9.1 Festival Cadeaukaart strives for the highest possible availability of its systems, but does not guarantee uninterrupted service.
9.2 Force majeure includes any situation outside the reasonable sphere of influence of the parties, including failures, cyber incidents, government measures, pandemics, strikes and failure of third parties.
9.3 During force majeure, obligations are suspended.
9.4 If the force majeure situation lasts longer than thirty (30) days, both parties may terminate the agreement in writing.
Article 10: Fraud and Abuse
10.1 Festival Cadeaukaart reserves the right to temporarily block transactions, cards or accounts in case of suspicion of fraud, abuse or unauthorised use.
10.2 The Partner cooperates with investigations into fraud or abuse upon request.
10.3 Fraudulent transactions are for the account and risk of the party that acted culpably.
Article 11: Confidentiality
11.1 The parties undertake to maintain the confidentiality of Confidential Information.
11.2 Confidential Information is used solely for the performance of the agreement.
11.3 This obligation remains in force even after termination of the agreement.
Article 12: Privacy and Data Protection
12.1 The parties process personal data solely in accordance with applicable privacy legislation, including the GDPR.
12.2 Each party is independently responsible for the personal data it processes within its own systems.
12.3 If the parties qualify as data controller or processor within the meaning of the GDPR, they will make additional agreements where necessary, including a data processing agreement.
12.4 Festival Cadeaukaart takes appropriate technical and organisational security measures.
12.5 Festival Cadeaukaart may use sub-processors or external service providers insofar as this is necessary for the performance of the services.
12.6 The parties inform each other without unreasonable delay if there is a security incident or data breach that is relevant to the performance of the agreement.
Article 13: Supervision and Processing of Funds
13.1 Festival Cadeaukaart is a product of TicketGift B.V.
13.2 Use may be made of Intersolve and/or other specialised service providers for the technical processing, administration and settlement of gift card credits.
13.3 The Partner acknowledges that payment flows may be technically processed via external payment and processing partners.
Article 14: Communication and Complaints
14.1 Official communication takes place via the contact details provided by the parties.
14.2 Complaints must be reported in writing within thirty (30) days of discovery.
14.3 Festival Cadeaukaart aims to handle complaints within ten (10) working days.
Article 15: Amendment of Terms and Conditions
15.1 Festival Cadeaukaart may amend these terms and conditions.
15.2 Amendments will be announced at least thirty (30) days prior to their effective date.
15.3 If the Partner does not agree with a material amendment, the Partner has the right to terminate the agreement in writing before the effective date of the amendment.
15.4 If the Partner continues to use the services after the effective date, this constitutes acceptance of the amended terms and conditions.
15.5 The failure to enforce, the toleration of deviations or the application of certain commercial terms in earlier situations does not create an obligation for Festival Cadeaukaart to apply this again in future situations.
Article 16: Assignment
16.1 Festival Cadeaukaart may assign rights and obligations under the agreement to an affiliated company or third party, provided this has no material adverse effect on the Partner.
16.2 The Partner may only assign rights or obligations after obtaining written consent from Festival Cadeaukaart.
16.3 The Partner acquires no exclusive rights with respect to categories, regions, events, ticketing partners or commercial segments, unless otherwise agreed in writing.
16.4 Nothing in this agreement is intended to create a joint venture, agency, representation or employment relationship between the parties.
Article 17: Applicable Law and Competent Court
17.1 All agreements and these terms and conditions are governed exclusively by Dutch law.
17.2 Disputes will be submitted exclusively to the competent court in the district of North Holland, location Haarlem, unless mandatory law provides otherwise.
Article 18: Final Provisions
18.1 If a provision of these terms and conditions proves to be invalid, the remaining provisions shall remain in full force and effect.
18.2 In that case, the parties will agree on a replacement provision that corresponds as closely as possible to the purpose and intent of the original provision.
